A foreign-invested project should be structured around the investor, activity, location, capital and implementation schedule before documents are drafted.
Review market access and project conditions
Confirm whether the proposed activity is open, conditional or restricted for foreign investors. Ownership limits, partner requirements and sector approvals may affect the structure.
Prepare investment registration
Depending on the project, an investment policy approval may be required before or alongside investment registration. Financial capacity, premises and implementation assumptions should be supported by documents.
Register the enterprise and activate operations
After the relevant investment step, complete enterprise registration and post-licensing tasks such as capital accounts, capital contribution, tax, accounting and specialist licences.
- Align investor names across foreign and Vietnamese documents
- Allow time for legalization and translation
- Keep project milestones realistic
- Coordinate investment and enterprise records
