A foreign-invested enterprise is not a separate company type. It is organized under Vietnamese enterprise law, while the foreign element arises from the status and ownership of its investors.
What is a foreign-invested enterprise?
It is an economic organization with a foreign investor as a member or shareholder. Obligations should not be assessed only by reference to a 50% ownership threshold; any foreign participation can create investment, market-access and foreign-exchange issues.
How it can be formed
The enterprise may be newly established for an investment project, created through a capital or share acquisition, or converted from a domestic enterprise after a foreign investment transaction. Acquiring an operating company also means taking on its historical risks.
Company type and market access
LLCs offer more concentrated ownership control, while a joint stock company suits broader fundraising. Before registration or acquisition, check ownership limits, permitted activities, investment form, partner requirements and sector conditions.
Capital and cross-border payments
Charter capital and total project investment are related but distinct. Contributions, transfers, foreign loans and profit remittances must use the correct account, party, currency and timing under foreign-exchange rules.
Ongoing obligations
In addition to tax, accounting, employment and corporate governance, the enterprise may need to manage investment reports, project milestones, specialist licences and foreign employees. Material changes should be reviewed across both investment and enterprise records.
